End User License Agreement

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and 12scribe ("Licensor," "we," "us," or "our") for the use of the 12scribe mobile application ("App"). By downloading, installing, or using the App, you agree to be bound by the terms of this EULA.

If you do not agree to the terms of this EULA, do not download, install, or use the App. This EULA supplements and is in addition to our Terms of Use and Privacy Policy.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on Apple-branded devices that you own or control, as permitted by the Apple App Store Terms of Service ("Usage Rules").

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time, except as permitted by the Usage Rules.

3. License Restrictions

You agree not to:

• Copy, modify, or distribute the App or any portion thereof.
• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the App, except to the extent permitted by applicable law.
• Rent, lease, lend, sell, sublicense, or transfer the App or any rights therein to any third party.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the App.
• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Use the App to infringe the intellectual property rights, privacy rights, or other rights of any third party.
• Circumvent, disable, or interfere with any security, authentication, or usage-tracking features of the App.
• Use automated systems, scripts, or bots to access or interact with the App.

4. Subscription and In-App Purchases

The App offers subscription-based access to premium features through Apple In-App Purchase and, where available, alternative payment methods.

• Free Plan: Core recording and playback features with limited AI transcription (150 minutes/month) and AI processing (80 requests/month).
• Pro Plan ($5.99/month or $59.99/year): Extended AI transcription (500 minutes/month), cloud sync, audio backup, sharing, auto markers, shloka detection, and priority processing.

Subscriptions purchased through Apple In-App Purchase automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage subscriptions in your Apple ID account settings.

We reserve the right to change subscription pricing. Changes will not affect active subscription periods. Continued use after a price change takes effect constitutes acceptance of the new pricing.

5. Intellectual Property

The App, including its design, code, user interface, graphics, logos, and all associated intellectual property, is the exclusive property of 12scribe and is protected by copyright, trademark, and other intellectual property laws. This EULA does not grant you any ownership interest in the App.

You retain full ownership of all content you create using the App, including audio recordings, transcriptions, markers, and exported files. We do not claim any ownership rights over your content.

6. AI-Generated Content

The App uses artificial intelligence to provide transcription, automatic marker generation, shloka detection, and content summarization. You acknowledge and agree that:

• AI-generated outputs may contain errors, inaccuracies, or omissions.
• You are responsible for reviewing all AI-generated content before relying on it.
• We do not guarantee the accuracy, completeness, or reliability of AI outputs.
• AI features require an internet connection and are subject to your subscription plan limits.

7. Privacy and Data

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Key points:

• Audio recording happens entirely on your device.
• Data is sent to our servers only when you use transcription, AI features, cloud sync, or sharing.
• We do not use advertising SDKs, tracking pixels, or behavioral analytics.
• You can request deletion of your account and all associated data at any time.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE APP AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 12SCRIBE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Apple-Specific Terms

This EULA is between you and 12scribe only, not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. The following terms apply:

• The license granted to you is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.
• Apple has no obligation to provide maintenance or support services for the App. 12scribe is solely responsible for any product warranties and support.
• Apple is not responsible for addressing any claims by you or a third party relating to the App or your possession and use of the App, including product liability claims, consumer protection claims, intellectual property infringement claims, or claims arising under applicable law.
• In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, 12scribe, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Apple and its subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

11. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms. Upon termination:

• You must cease all use of the App and delete all copies from your devices.
• Any active subscriptions should be cancelled through your Apple ID account settings or the applicable payment provider.
• Content stored in cloud storage will be retained for 30 days following termination, after which it may be permanently deleted.

We may also terminate this EULA at any time by discontinuing the App or your access to it.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which 12scribe operates, without regard to conflict of law provisions. Any disputes arising under this EULA shall be resolved in accordance with the dispute resolution provisions set forth in our Terms of Use.

13. Changes to This EULA

We reserve the right to modify this EULA at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the App after changes are posted constitutes acceptance of the revised EULA.
